The Recognizable Problem
Everyone may agree that the conflict should end, yet ownership, contribution, authority, duties, performance, restitution, records, succession, enforcement, or exit remains unclear. The signature is possible; durable operation is not yet specified.
What Normally Goes Wrong
The agreement ends the immediate proceeding but leaves the conflict architecture in place.
Positions are negotiated without a complete account of interests, injuries, dependencies, transferred costs, or future risk. Duties remain hard to observe, remedies do not correspond to injury, and no one defines how amendment, breach, correction, succession, or separation will work.

NLI treats closure as an operating condition. A durable instrument must distinguish past injury, present ownership and control, future cooperation, and failure or exit. Agreement about one time horizon cannot be allowed to conceal ambiguity in another.

What Durable Closure Must Govern

The past
What happened, what was contributed or taken, which injury is demonstrated, who bears responsibility, and what restitution or release corresponds to it.
The present
Who owns, controls, owes, possesses, decides, performs, benefits, bears risk, and depends upon whom when the arrangement takes effect.
The future
How performance, governance, amendment, review, stewardship, succession, changed conditions, and correction will operate.
Failure and exit
What constitutes breach, how failure is observed and cured, what enforcement follows, and how people, property, records, authority, and liabilities separate safely.
Two Forms of Closure
Some matters require continued cooperation. Others require safe disassociation.
Continuing cooperation
Define shared purpose, contribution, ownership, decision rights, authority, performance, records, stewardship, amendment, review, succession, correction, and the consequence of nonperformance.
Safe disassociation
Account for property, information, custody, restitution, releases, continuing duties, transition, confidentiality, liabilities, third-party effects, enforcement, and boundaries of future conduct.
What the Engagement Requires and Supplies
The parties provide the record and objectives; NLI exposes dependencies and constructs terms for professional review.
The written scope identifies the parties, conflict or founding objective, governing materials, professional dependencies, instrument, authorized users, and limits.
The client provides
The parties and their roles; complete favorable and adverse facts; existing agreements and governing documents; assets, interests, duties, liabilities, contributions, and dependencies; prior disputes and attempted settlements; desired cooperation or separation; professional advisers; and timing, confidentiality, safety, and implementation constraints.
NLI may supply
A conflict account, interest and dependency map, reciprocal term architecture, injury-to-remedy schedule, governance and decision-rights architecture, stewardship or succession structure, separation architecture, implementation and review map, or closure audit.
The instrument has an authorized user
Parties and responsible legal, financial, tax, fiduciary, mediation, therapeutic, safety, or technical professionals review and use the work within their own authority and competence.
Changed conditions require review
New facts, valuation, law, professional advice, impossibility, nonperformance, or changed relationships may require the architecture to be corrected or recomputed.
Professional Coordination
Settlement architecture does not collapse distinct professional responsibilities into one engagement.
The scope identifies which determinations require authority or competence beyond NLI’s role.

Use when: An agreement in principle exists, but material duties, rights, warranties, authority, performance, or consequences remain ambiguous.
NLI supplies: A reciprocal term architecture for professional review, joining consideration, obligations, authority, performance, observation, correction, and enforcement.
Restitution and remedy
Use when: Demonstrated past injury must be converted into a possible, proportional, and performable correction.
NLI supplies: An injury-to-remedy schedule stating causality, responsibility, valuation dependencies, restitution, performance, completion, and lawful limitation.
Governance and succession
Use when: Cooperation will continue—or must later end—and decision rights, stewardship, succession, amendment, exit, or custody are incomplete.

Closure audit
Use when: A proposed settlement or governance instrument exists, but the parties need to know whether the conflict has actually been terminated.

Fit Criteria

NLI cannot manufacture consent, complete records, lawful authority, professional advice, feasible performance, or enforceability. It can identify missing dependencies and test whether a proposed architecture addresses them.
